By accessing or using the Services, creating an account, or purchasing store credit/gift cards or promotional offers through RoosterClubs, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.


1) What RoosterClubs does (and does not do)

What we do. RoosterClubs distributes and sells partner merchants’ store credit/gift cards and may attach conditional rebate promotions (e.g., “get it free if a public event occurs”). We are the merchant of record for your purchase and we pay partner merchants their share under separate agreements.
Not gambling; no wagers accepted. We do not offer or accept wagers, pools, or sportsbooks. Customers are not placing bets. The promotion is a conditional rebate on a bona fide purchase of store credit.
No customer trading. Any risk management we perform (including via regulated event-contract exchanges) is internal and never involves customer funds or instructions.


2) Eligibility & availability

You must be 18+ and capable of forming a binding contract, and you must be physically located in a U.S. jurisdiction where our promotions are permitted.
Some promotions or products may be unavailable in certain states or locations or to certain users, and we may geo-restrict or screen purchases. Offers are void where prohibited.
We may decline, cancel, cap, or refund any order to prevent fraud/abuse or to comply with law.


3) Accounts; your responsibilities

You may use the Services with or without an account; if you create one, keep credentials confidential and accurate. You’re responsible for activity under your account. We may suspend or close accounts for suspected fraud, abuse, or legal risk.


4) Store credit / gift card terms

Issuer. Unless stated otherwise, store credit/gift cards you buy through RoosterClubs are issued and fulfilled by the partner merchant, not by RoosterClubs. We sell them and deliver the credential (e.g., code, token) to you and/or the merchant for redemption.
Redemption. Store credit is closed-loop and redeemable solely with the issuing merchant, subject to that merchant’s terms (hours, products, appointments, etc.).
No cash; non-transfer limits. Except where required by law, store credit is not redeemable for cash, and may be single-user and non-transferable.
Expiration/fees. We and our partners follow applicable state gift card laws. Where law prohibits expiration or fees, we honor that. If an expiration or fee is permitted and will apply, it will be disclosed at purchase.
Lost/stolen. Treat store credit like cash; we’re not responsible for lost or stolen codes once delivered or redeemed.



5) Conditional rebate promotions

How it works. If you purchase eligible store credit during a stated promotional window, and the public event described in the offer occurs (the “Trigger”), you may receive a refund of your purchase price (up to the stated cap), subject to the offer’s official rules. If the Trigger does not occur, you still keep the store credit.
Official rules control. Each promotion has posted official rules that specify: Trigger definition and source of record (e.g., league website or equivalent), promotional window, eligibility, caps/limits, refund method, event cancellation/postponement handling, and timing.
Event changes. If an event is canceled, voided, or materially changed, we will follow the official rules for that promo (e.g., “no action/void,” postponement window, or alternate source).
Refund method. Refunds, if any, are typically made to the original payment method; if that is unavailable, we may issue a refund by alternative means (e.g., replacement credit) as stated in the promo rules or required by law.
Abuse & limits. We may set per-user, per-payment-method, per-household, and per-merchant limits; require ID verification; and void, cancel, or decline purchases for suspected abuse (e.g., multi-accounting, automated scripts, reseller arbitrage, chargebacks).
No odds; no advice. We do not publish “odds,” provide predictions, or offer investment, trading, or betting advice.


5A) Customer representations—no MNPI, no tips or influence

By purchasing through RoosterClubs or participating in a promotional offer, you represent and warrant that:

(i) you do not possess material nonpublic information (MNPI) related to any event used as a promotional trigger;
(ii) you will not provide RoosterClubs with tips, MNPI, or trading/investment advice;
(iii) you will not attempt to direct, influence, or time RoosterClubs’ proprietary risk management or trading in any way;
(iv) you will not attempt to manipulate or improperly influence any underlying event; and
(v) you understand RoosterClubs’ exchange activity is for its own account only and not on your behalf. RoosterClubs may cancel or refuse orders, void promotional eligibility, limit accounts, or take other appropriate action (including notifying relevant platforms or authorities) if it suspects a breach of this subsection.


6) Pricing, payment, taxes, and fees

Merchant of record. RoosterClubs (or its payment processor) charges your card and issues receipts.
Taxes. The sale of store credit is typically not taxable at purchase; sales tax may apply at redemption according to merchant location and product type. We and our partners follow applicable tax rules; final tax treatment is determined at redemption.
Chargebacks. Fraudulent or abusive chargebacks are prohibited. We may suspend accounts, revoke credits, or pursue remedies for misuse.



7) Returns & cancellations (non-promo)

Because you receive store credit immediately and can use it with the merchant, purchases are generally final. If a credit code is defective or not delivered, contact support and we will repair, replace, or refund as appropriate.


8) Prohibited conduct

You agree not to:

(a) violate laws or third-party rights;
(b) interfere with the Services;
(c) use bots/scrapers to place orders;
(d) create multiple accounts to evade limits;
(e) buy for resale unless expressly permitted;
(f) attempt to manipulate promotional outcomes;
(g) provide false information; or
(h) reverse-engineer or misuse our software.


9) Merchant partners (summary)

If you are a merchant partner, our Merchant Agreement governs payouts, reserves, refund handling, reporting, and compliance. In case of conflict, the Merchant Agreement controls for merchant-specific matters.


10) Third-party services

We use third-party providers (e.g., payment processors, communication tools). Their services are governed by their own terms. We are not responsible for third-party sites/services.


11) Intellectual property & license

The Services, content, logos, and trademarks are owned by RoosterClubs or its licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. Do not copy, modify, distribute, or create derivative works without permission.


12) Disclaimers

THE SERVICES AND PROMOTIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE EVENT OCCURRENCE, SITE UPTIME, OR ERROR-FREE OPERATION.


13) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOSTERCLUBS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE AMOUNTS YOU PAID TO ROOSTERCLUBS FOR THE ORDER GIVING RISE TO THE CLAIM IN THE 3 MONTHS PRECEDING THE CLAIM.Some jurisdictions do not allow certain limitations; in such cases, the foregoing applies to the fullest extent permitted.


14) Indemnification

You will indemnify and hold harmless RoosterClubs and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Services, violation of these Terms, violation of law, or infringement of third-party rights.


15) Compliance; no unlawful use

You agree to use the Services only in compliance with applicable federal, state, and local laws. Offers are void where prohibited. We may exclude jurisdictions or users at our discretion to comply with law or risk policies.


16) Dispute resolution; arbitration; class-action waiver

PLEASE READ THIS SECTION CAREFULLY. It affects your rights.

Informal resolution first. Contact us at legal@roosterclubs.com. We’ll try to resolve disputes informally within 30 days.
Binding arbitration. If not resolved, any dispute arising from or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Class waiver. Disputes must be brought only in your individual capacity, not as a class or representative action. Class arbitrations and class actions are not permitted.Venue & governing law. The Federal Arbitration Act governs this Section. Delaware law (without regard to conflicts) governs the Terms. Unless AAA requires otherwise, arbitration will take place by video or in New Castle County, Delaware.
Opt-out. You may opt out of arbitration within 30 days of first acceptance by emailing legal@roosterclubs.com with subject “Arbitration Opt-Out” and your name and address.


This Section does not prevent you from seeking relief in small claims court where permitted.


17) Changes to the Services or Terms

We may modify the Services or these Terms at any time. Changes are effective when posted on the Site with an updated Effective Date. If a change is material, we will provide reasonable notice (e.g., email or banner). Your continued use after changes means you accept them.


18) Termination

We may suspend or terminate your access at any time for any reason, including suspected fraud, abuse, or legal risk. You may stop using the Services at any time. Sections intended to survive (e.g., IP, Disclaimers, Liability, Indemnity, Disputes) will survive termination.


19) Communications; e-sign consent

You consent to receive electronic communications (emails, SMS if opted in, in-app notices). You agree that electronic signatures and records associated with the Services satisfy any legal requirements for written signatures or records.


20) Privacy

Your use of the Services is subject to our Privacy Policy (roosterclubs.com/privacy-policy). That policy explains how we collect, use, and disclose personal information, including in connection with promotions and store credit.


21) Miscellaneous

Entire agreement. These Terms (plus any promo official rules and the Privacy Policy) are the entire agreement between you and RoosterClubs about the Services.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
No waiver. A failure to enforce a provision is not a waiver.
Headings. Headings are for convenience only.
